Meto Terms of Service

Welcome to Meto Health, Inc. ("Meto," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Meto's services provided through our website, and web-based applications (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. Please read them carefully before using the Site.
1. Acceptance of Terms
By accessing, browsing, or using the Site and its services, you agree to be bound by these Terms, our [Privacy Policy](Insert Link to Privacy Policy), and any other guidelines posted on the Site. You also agree to comply with any applicable local, state, and federal laws and regulations.
a. Amendments to the Terms
Meto may amend these Terms at any time by posting the revised version on the Site. Significant changes will be communicated through a notice on the Site or by email if you are a registered user. It is your responsibility to review these Terms regularly. Continued use of the Site after amendments constitutes acceptance of the new Terms.
b. Legal Age and Authority
You affirm that you are at least 18 years old or of legal age to enter into these Terms in your jurisdiction and that you are fully able and competent to understand, agree to, and comply with these Terms. If you are accessing Meto on behalf of a minor, you affirm that you have the legal authority to act on their behalf and to bind them to these Terms.
2. Services Overview
Meto provides a platform for metabolic health practitioners and patients to manage appointments, patient records, communication, and billing, among other administrative services. Meto does not provide medical care directly, nor does it interfere with healthcare decisions made by Providers.
a. Facilitation of Services
Meto acts as an intermediary, connecting patients with Providers. We are not responsible for the medical services offered by Providers, including the accuracy or legality of their actions. Providers are independent contractors, not employees of Meto, and are solely responsible for their own healthcare decisions.
b. Use of Services
By using the services provided by Meto, you agree to only use the Site for lawful purposes. You may not use the Site to:
- Harass, harm, or exploit others, including other users and Providers.
- Violate any local, state, or federal laws, including health regulations.
- Misrepresent your identity or provide false or inaccurate information.
- Access another user’s account without permission.
3. Healthcare and Administrative Services
Meto's platform enables licensed healthcare Providersto offer healthcare services related to metabolic health. The role of Meto is purely administrative and supportive, andMeto does not practice medicine.
a. Healthcare Consent and Provider Liability
When using Meto to access healthcare services, you may be required to sign a separate Healthcare Services Consent with the Provider. Meto is not liable for any decisions made by Providers, including misdiagnoses, incorrect treatments, or medical negligence.
b. Healthcare Provider Verification
While Meto verifies that each Provider using the platform is licensed to practice in their jurisdiction, Meto makes no warranties regarding the qualifications or skills of Providers. Any concerns regarding a Provider’s qualifications should be addressed directly with the Provider.
c. Non-Emergency Services
Meto does not offer emergency healthcare services. If you are experiencing a medical emergency, you should contact 911 or your nearest emergency medical services.
4. Account Registration and Security
To use certain features of the Site, you must register for an account. You agree to the following:
a. Account Information
You agree to provide true, accurate, and complete information during the registration process and to update this information as necessary to keep it current.
- Account Accuracy: Inaccurate or incomplete information may result in suspension or termination of your account.
- Account Protection: You are responsible for maintaining the confidentiality of your account credentials. Sharing your account credentials with others is prohibited.
b. Account Security
You agree to notify Meto immediately if you suspect any unauthorized access to your account. Meto will not be liable for any losses or damages resulting from unauthorized access if you fail to notify us promptly.
c. Account Termination
Meto reserves the right to terminate or suspend your account at any time for violating these Terms, providing false or misleading information, or engaging in unlawful behavior.
5. Fees, Payments, and Billing
Meto facilitates the management of payments between patients and Providers. However, Meto does not determine the fees for services provided by the Providers. Payments may be handled through third-party processors.
a. Provider Fees
Fees for healthcare services provided through Meto are set solely by the Provider. Meto is not responsible for disputes related to fees or pricing. It is the Provider’s responsibility to communicate their fee structure clearly to the patient before providing services.
b. Payment Methods
All payments are processed through third-party payment processors (Stripe). By submitting payment, you agree to the terms and conditions of the third-party payment processor.
- Accuracy of Payment Information: You must provide accurate and complete billing information for the processing of payments.
- Payment Failures: Meto is not responsible for failed payments, processing errors, or delays caused by third-party payment providers.
c. Refunds
Refund policies for services are determined by each individual Provider. Meto is not responsible for issuing refunds unless otherwise specified. Any refund requests should be directed to the Provider.
6. Data Collection and Privacy
Meto collects personal data to facilitate services on the Site. By using the Site, you agree to the collection and use of your data as outlined in Meto’s [Privacy Policy](Insert Link to Privacy Policy).
a. Types of Data Collected
Meto may collect the following types of data:
- Personal Data: Including your name, address, contact information, and other identifying information.
- Health Data: Including health history, diagnoses, treatments, and other health-related information.
- Financial Data: Including credit card numbers, billing information, and insurance details.
b. Use of Data
Meto uses your data to provide services, including facilitating communication with Providers, managing appointments, processing payments, and submitting insurance claims. Your data may also be shared with Providers to assist in healthcare delivery.
c. Data Security
Meto takes reasonable precautions to protect your data. However, no system is completely secure, and Meto cannot guarantee the absolute security of your information. You agree to use the Site at your own risk.
7. Intellectual Property Rights
All content, including but not limited to text, images, software, and logos, on the Site is the property of Meto or its licensors. You may not copy, distribute, or create derivative works from any content on the Site without prior written consent from Meto.
a. User-Generated Content
By submitting content (e.g., reviews, feedback) to the Site, you grant Meto a perpetual, irrevocable, royalty-free, worldwide license to use, display, and modify this content. You represent and warrant that you have the right to submit such content and that it does not violate any third-party rights.
8. Limitation of Liability
a. No Warranty
Meto provides the Site on an "as is" and "as available" basis. We do not guarantee that the Site will be uninterrupted, error-free, or secure, nor do we make any warranties regarding the accuracy or reliability of the information provided by Providers.
b. Limitation of Liability
To the fullest extent permitted by law, Meto will not be liable for any indirect, incidental, or consequential damages arising from your use of the Site, including but not limited to lost profits, personal injury, or data loss.
Meto's total liability to you is limited to the amount you paid for services in the 12 months preceding the event giving rise to the liability of $200, whichever is greater.
9. Indemnification
You agree to indemnify and hold Meto harmless from any claims, damages, losses, or liabilities arising from:
- Your use of the Site or Services.
- Your breach of these Terms or any applicable laws.
- Any claims by third parties arising from your conduct on the Site.
10. Third-Party Content and Links
The Site may include content from third-party websites or services. Meto does not endorse or control third-party content and is not responsible for its accuracy or availability. Use of third-party content is at your own risk.
11. Termination
You may terminate your account at any time by discontinuing use of the Site. Meto reserves the right to terminate your account or access to the Site if you violate these Terms, engage in unlawful behavior, or misuse the platform.
No refunds will be provided for services already rendered.
12. Modifications to the Terms
Meto may revise these Terms at any time. If material changes are made, you will be notified via email or through a notice on the Site at least 15 days before the changes become effective. Continued use of the Site after the changes become effective constitutes acceptance of the revised Terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved in the courts located in Delaware, and you consent to the personal jurisdiction of these courts.
14. Geographic Limitations
Meto operates within the United States, and the Services are intended for use by U.S. residents. If you access the Site from outside the U.S., you are responsible for compliance with local laws. Meto makes no representation that Services are available or appropriate for use outside the U.S.
